Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") form a legally binding contract between you ("you", "user") and PromptCollege ("PromptCollege", "we", "us", or "our"), a company organized under the laws of the United States, governing your access to and use of the website located at prompt.college and any related services, content, prompts, AI tools, generators, APIs, software, and features (collectively, the "Service"). By accessing, browsing, registering for, or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

2. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract under the laws of your jurisdiction to use the Service. By using the Service, you represent and warrant that you meet these requirements and that your use does not violate any applicable law or regulation.

3. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. We are not liable for any loss or damage arising from your failure to safeguard your credentials.

4. Subscriptions, Billing, and Refunds

Paid features of the Service are offered on a subscription basis. By subscribing, you authorize us and our payment processor to charge the applicable fees and any taxes to your payment method on a recurring basis until you cancel. Subscriptions automatically renew at the then-current price unless cancelled before the renewal date. You may cancel at any time through your account; cancellation takes effect at the end of the current billing period. Except where required by applicable law or as expressly stated by us in writing, all payments are non-refundable.

5. License to Use Prompts

Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the prompts and other content made available through the Service for your personal or internal business use. You may not resell, redistribute, sublicense, repackage, or create a competing prompt library, dataset, or product using the Service or its content. All rights not expressly granted are reserved by PromptCollege.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful, harmful, fraudulent, infringing, or deceptive purpose;
  • Generate, request, or distribute content that is illegal, defamatory, harassing, hateful, sexually exploitative, violent, or that infringes any third-party rights;
  • Use the Service to provide regulated professional advice (legal, medical, financial, tax, mental health, or similar) to third parties without independent professional review;
  • Reverse engineer, scrape, crawl, or systematically extract content from the Service except as expressly permitted;
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its underlying systems;
  • Use the Service to train, fine-tune, or develop any competing AI model, prompt library, or dataset.

We may suspend or terminate your access at our sole discretion, without notice or refund, for any actual or suspected violation.

7. AI Outputs and User Responsibility

The Service includes AI-powered tools that generate text and other outputs ("AI Outputs") in response to user prompts. AI Outputs are produced by machine-learning systems and may be inaccurate, incomplete, biased, offensive, outdated, or otherwise unsuitable for any particular purpose. AI Outputs do not constitute legal, medical, financial, tax, psychological, safety, or other professional advice, and must not be relied on as such. You are solely responsible for (a) reviewing and verifying any AI Output before use, (b) ensuring that your use of any prompt or AI Output complies with all applicable laws, regulations, and third-party rights, and (c) any decisions, actions, content you publish, products you build, or consequences arising from your use of prompts or AI Outputs. You assume all risk associated with using prompts and AI Outputs.

8. Intellectual Property

The Service, including all prompts, text, graphics, logos, software, and the selection and arrangement thereof, is owned by or licensed to PromptCollege and is protected by U.S. and international copyright, trademark, and other intellectual property laws. "PromptCollege" and our logos are our trademarks. Nothing in these Terms transfers any ownership rights to you.

Your content. You retain ownership of any content you submit (e.g., prompts you customize or text you input). You grant us a worldwide, royalty-free, non-exclusive license to host, store, reproduce, and process such content solely as needed to operate, secure, and improve the Service.

9. Third-Party Services

The Service may integrate with or rely on third-party services (including AI model providers and payment processors). We do not control and are not responsible for third-party services, their availability, terms, or outputs. Your use of third-party services is governed by their own terms and policies.

10. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service, all prompts, AI Outputs, and all related content are provided "AS IS" and "AS AVAILABLE", with all faults and without warranty of any kind. PromptCollege expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, and any warranties arising out of course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any AI Outputs will be accurate, reliable, lawful, complete, or fit for any purpose.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall PromptCollege, its affiliates, officers, directors, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, goodwill, or other intangible losses, arising out of or related to (a) your access to, use of, inability to use, or reliance on the Service, prompts, or AI Outputs; (b) any content obtained from the Service; (c) unauthorized access to or alteration of your transmissions or data; or (d) any other matter relating to the Service, regardless of the legal theory (contract, tort, strict liability, or otherwise) and whether or not we have been advised of the possibility of such damages.

In no event shall PromptCollege's total aggregate liability arising out of or relating to these Terms or the Service exceed the greater of (i) the amount you paid us in the twelve (12) months immediately preceding the event giving rise to the claim, or (ii) one hundred U.S. dollars (US $100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless PromptCollege and its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, demands, suits, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to: (a) your access to or use of the Service; (b) your use of, reliance on, or publication of any prompt or AI Output, including any decision, action, product, service, or content you create using them; (c) your violation of these Terms or any applicable law or regulation; (d) your violation of any third-party right, including intellectual property, privacy, or publicity rights; or (e) any content you submit to the Service. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense.

13. Termination

We may suspend, restrict, or terminate your access to the Service at any time, with or without notice, for any reason, including suspected violation of these Terms. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 5, 7, 8, 10, 11, 12, 14, and 15) will survive.

14. Governing Law; Dispute Resolution; Arbitration

These Terms and any dispute arising out of or related to them or the Service are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles, and, where applicable, the U.S. Federal Arbitration Act.

Binding arbitration. Except for claims for injunctive relief related to intellectual property, you and PromptCollege agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively through final and binding individual arbitration administered by JAMS under its applicable rules, conducted in English. The arbitration shall take place in Delaware, or remotely where permitted.

Class action waiver. You and PromptCollege agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

If for any reason a claim proceeds in court rather than arbitration, you and PromptCollege waive any right to a jury trial and agree to the exclusive jurisdiction of the state and federal courts located in Delaware.

15. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PromptCollege regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver. You may not assign or transfer these Terms without our prior written consent; we may assign them freely. We may modify these Terms at any time by posting the revised version with a new "Last updated" date; your continued use of the Service after changes constitutes acceptance.
